Terms of Service

The agreement between you and Coconut Platforms Limited governing use of the platform.

Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and Coconut Platforms Limited ("Coconut", "we", "us"), a company incorporated in Nigeria and a subsidiary of OpenCrate Limited. By accessing or using the Coconut platform, websites, APIs, mobile applications or related services (collectively, the "Service"), you agree to be bound by these Terms.

  1. 1. Eligibility & account registration

    You must be at least 18 years of age and legally capable of entering into a binding contract in your jurisdiction to use the Service. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

    You agree to provide accurate, complete and current information when creating an account and to keep that information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

  2. 2. Merchant responsibilities

    As a merchant using Coconut to operate a storefront or sell on connected channels, you are solely responsible for the legality, accuracy and quality of products listed; for honoring orders placed by customers; for tax obligations applicable to your sales; and for complying with all consumer protection, advertising and data-protection laws in jurisdictions where you sell.

    Coconut is not a party to transactions between you and your customers. We provide the technology infrastructure that enables those transactions.

  3. 3. Acceptable use

    You agree not to use the Service to:

    • Sell products or services that are illegal in any jurisdiction where you sell.
    • Engage in fraud, money laundering, terrorism financing, or sanctions evasion.
    • Infringe the intellectual property rights of any third party.
    • Attempt to disrupt, reverse-engineer or gain unauthorised access to the Service.
    • Send spam or unsolicited communications via the platform.
  4. 4. Coconut Banking & payments

    Payment processing, including stablecoin-powered settlement through Coconut Banking, is provided in partnership with licensed third-party financial infrastructure providers. Use of payment features is additionally governed by the terms of those providers, which form part of these Terms by reference. Coconut is not a bank and does not hold customer funds in its own name.

  5. 5. Subscription, fees & refunds

    Coconut offers Free, Growth and Pro subscription plans. Paid plans are billed monthly in advance. Fees are non-refundable except as required by law or as expressly stated.

    We reserve the right to change pricing on at least 30 days' notice. Continued use of the Service after a price change takes effect constitutes acceptance.

  6. 6. Intellectual property

    You retain ownership of content you upload (products, images, copy). You grant Coconut a worldwide, non-exclusive licence to host, display, transmit and back up that content for the purpose of operating the Service. The Coconut platform, brand and underlying software remain the exclusive property of Coconut Platforms Limited.

  7. 7. Termination

    You may close your account at any time. We may suspend or terminate your account if you breach these Terms, if required by law, or to protect the security of the Service or other users. Outstanding fees survive termination.

  8. 8. Disclaimers & limitation of liability

    The Service is provided "as is" and "as available". To the fullest extent permitted by law, Coconut disclaims all warranties, express or implied. Our aggregate liability for any claim arising under these Terms is limited to fees paid by you to Coconut in the twelve months preceding the claim.

  9. 9. Governing law

    These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising shall be submitted to the exclusive jurisdiction of the courts of Lagos State, without prejudice to mandatory consumer-protection rights you may have under local law.
